General Terms and Conditions of Sale

1. Preamble & Scope

These General Terms and Conditions of Sale (hereinafter "GTCS") apply to all services provided by SGV TP LLC (hereinafter the "Provider"), a limited liability company registered in New Mexico, to any professional client (hereinafter the "Client").

The purpose of these GTCS is to define the rights and obligations of the parties in the context of the sale of services such as High-Ticket Closing, Lead Generation, and Strategic Consulting. By signing a quote or contract with the Provider, the Client unreservedly accepts these GTCS.

2. Nature of Services

SGV TP LLC acts as a specialized service provider. The services include, but are not limited to:

  • Sales Representation: Negotiation and closing of commercial contracts on behalf of the Client.
  • Lead Generation: Prospecting via digital channels, email, or telephone.
  • Consulting: Auditing and optimization of commercial processes.

Disclaimer: The Provider is bound by an obligation of means (obligation de moyens), not an obligation of result (obligation de résultat), unless explicitly stated otherwise in a specific performance contract.

3. Pricing & Payment Terms

3.1 Pricing

Services are billed according to the rates specified in the quote accepted by the Client. Prices are expressed in USD (United States Dollars) or EUR (Euros), exclusive of taxes.

3.2 Payment Terms

Unless otherwise agreed, invoices are payable upon receipt or within 14 days of the invoice date. Payments can be made via bank transfer or credit card via our secure payment processor.

3.3 Late Penalties

In the event of late payment, the Provider reserves the right to suspend services immediately. A late payment penalty equal to three times the legal interest rate may be applied to the outstanding amount.

4. Client Obligations

To facilitate the proper performance of the services, the Client agrees to:

  • Provide the Provider with all accurate information and documents necessary for the mission.
  • Appoint a primary point of contact for decision-making.
  • Pay the invoices within the agreed deadlines.
  • Ensure that their products/services comply with the laws of the markets they are targeting.

5. Liability & Termination

Liability Cap

The total liability of SGV TP LLC, for any cause whatsoever, shall strictly be limited to the amount effectively paid by the Client for the service in question during the last three (3) months.

Termination

Either party may terminate the contract with a written notice period of thirty (30) days. In the event of early termination by the Client without cause, any deposit paid remains acquired by the Provider.

6. Governing Law

These General Terms and Conditions are governed by and construed in accordance with the laws of the State of New Mexico, USA. Any dispute relating to their interpretation and/or execution shall be subject to the exclusive jurisdiction of the competent courts of New Mexico.
